The following Terms and Conditions (“Terms”) governs the relationship between E2E Enterprise Limited (“E2E”, “us”, “our” or “we”) and you (“you”). These Terms govern your use of the https://e2exchange.com/ (“our Website”), either as a guest or a registered account holder/Member. By accessing or continuing to use the Website, you accept these Terms and agree to be bound by them. If you do not agree with any part of these Terms, please do not use the Website. Please read these terms of use carefully before you start to use the Website. By using our Website, you indicate that you accept these Terms and that you agree to abide by them. If you do not agree to these Terms, please refrain from using our site.
- Introduction
- Our Website is operated by E2E Enterprise Limited, a company registered in England and Wales under company registration number 10582350. Our registered office is 52 Grosvenor Gardens, London, SW1W 0AU and our VAT number is 130251861.
- Our Website offers a Membership subscription service.
- We reserve the right to amend these Terms from time to time.
- Website Use
- To register as a Member and use our Website, you must be over the age of 18, resident in the UK and capable in your country of residence of entering into a legally binding agreement. Membership is subject to further conditions, which are outlined in clause 3 of these Terms.
- Please ensure that all information you provide on registration to E2E is true and accurate, current and complete. If there are any changes to the details supplied to us it is your responsibility to inform us straight away.
- Access to our Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our Website without notice. We will not be liable if for any reason our Website is unavailable at any time or for any period.
- Some parts of our Website are restricted and can only be accessed by Members. Misuse of our Website in breach of these Terms of use may lead to your Membership being terminated.
- Prohibited Activities:
- Unauthorized Access: You shall not attempt to gain unauthorized access to any portion of the Website, its systems, or any other connected networks or services.
- Malicious Actions: You shall not engage in any activities that may disrupt, impair, or interfere with the proper functioning of the Website or any associated systems, including but not limited to hacking, introducing viruses, or engaging in any form of cyber-attack.
- Data Interception: You shall not intercept or monitor any data or information transmitted to or from the Website without proper authorization.
- Unauthorized Usage: You shall not use the Website for any unlawful or unauthorized purposes, including but not limited to the distribution of malware, engaging in phishing activities, or any other illegal activities.
- When utilizing the communication tools provided on the Website (e.g., forums, questionnaires, message centres), you agree to use them solely for personal purposes and in compliance with applicable laws. It is strictly prohibited to utilize these communication tools for sharing or promoting any content unrelated to the Website or for advertising and marketing purposes.
- We aim to update our Website regularly, and may change the content at any time. If the need arises, we may suspend access to our Website, or close it indefinitely. Any of the material on our Website may be out of date at any given time, and we are under no obligation to update such material.
- Membership
- Our Website allows you to join E2E as a member (“Member”). As a Member of the UK’s leading entrepreneurial network (“Membership”), you will have the opportunity to meet likeminded individuals, share ideas, make the right connections, attract new executive and non-executive director talent, and pitch for investment.
- E2E is not a business development or selling network and any activities in contravention of these Terms may lead to your Membership being terminated.
- Membership of E2E is a personal membership and is not transferable.
- Some parts of our Website are restricted and can only be accessed by Members. Misuse of the website in breach of these Terms may lead to your Membership being terminated.
- If you register as a Member on the Website, you are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You must immediately notify us of any unauthorised use or suspected security breach.
- Membership Fees
- Membership fees are an annual subscription and must be paid online via our secure payment portal.
- In exceptional circumstances and when pre-arranged with us, we may allow you to pay via bank transfer. If this has been agreed, payment of your Membership fees must be made within 7 days of our invoice date.
- Cancellation and Refunds
- In accordance with The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your membership without any reason within 14 (fourteen) days starting from the date of your Membership registration (“Cooling Off Period”).
- To exercise your right to cancel your Membership within the Cooling Off Period, you must notify us in writing. You can send the cancellation notice by mail or email using the contact details provided in these Terms. Please ensure that you include your name, address, and Membership details in the cancellation notice for us to process your request promptly.
- If you cancel your Membership within the Cooling Off Period in accordance with this clause 5, we will refund any Membership fees or payments you have made to us without undue delay and no later than 14 (fourteen) days from the date we receive your cancellation notice. The refund will be issued using the same payment method you used for the initial transaction, unless you explicitly agree to a different method.
- If you request to start using our Membership services and/or attend any Membership events immediately upon registration or within the Cooling Off Period, you acknowledge and agree that the Cooling Off Period will be waived, and your Membership will begin immediately.
- No refunds and/or cancellations will be processed outside the Cooling Off Period.
- Your Membership will auto-renew after 12 (twelve) months.
- Should you not want to renew, please email or contact E2E with your cancellation request.
- We will send you reminder 30 (thirty) days before your Membership is due to auto-renew. Should you fail to advise us of your intention to cancel, we will not be able to refund your payment.
- In accordance with The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your membership without any reason within 14 (fourteen) days starting from the date of your Membership registration (“Cooling Off Period”).
- Members Code of Conduct
- By becoming a Member of E2E, you agree to the following:
- Courtesy
- We ask that all Members to be helpful towards fellow Members, particularly new Members.
- Should you not be able to attend an event, you must provide us with as much advance notice as is reasonably possible so that we may allocate your seat to another Member.
- Support
- You may use our network to seek support and advice from fellow Members on business issues.
- You agree that, when possible, you will provide support to other Members when requested to do so.
- Selling
- You agree that you are not allowed to solicit or sell goods or services to fellow Members unless invited to do so.
- You agree to hold fellow members accountable and intervene when necessary and appropriate to do so. Should you not feel comfortable with intervening, please report any unauthorised and/or uninvited soliciting and sales to us and we will investigate and respond accordingly.
- Courtesy
- By becoming a Member of E2E, you agree to the following:
- Introductions via the E2E network
- E2E prides itself on the valuable business introductions it facilitates and the network it creates for entrepreneurs, businesses and companies. In exchange for our expertise in business introductions, we request the payment of a referral fee.
- Informal Introductions
- During any private dinners or events organised by E2E, if you are introduced to/meet an individual or an organisation, which in turn generates commercial value to you, we ask that you pay E2E a referral fee of 6% – 20% of the total commercial value.
- For any in-formal introductions made, we request that you keep us informed of the outcome and developments of dealings and/or business transactions which has resulted from such introductions.
- Formal Introductions
- A formal introduction is a directly requested introduction facilitated by E2E to a given company or individual. For such introductions, E2E will be formally engaged to facilitate this connection.
- If as a result of any formal introductions made by E2E to an individual or a corporate organisation, you were to gain commercial benefit from those introductions, E2E will request you to pay an introduction fee, as per our terms of engagement, the percentage of which ranges between 6% – 10% and which will be agreed upon each individual request.
- For any formal introductions made, we request that you keep us informed of the outcome and developments of dealings and/or business transactions which has resulted from such introductions.
- For payment of referral fees, E2E relies on the honesty and integrity on its Members. We aim to provide you with the best possible business introductions we can facilitate and in exchange, we expect the payment of the referral fee for our expertise. Should it come to our attention that you have conducted business dealings or received commercial gain which do not comply with these Terms, we reserve the right to terminate your Membership.
- Investment and Non-Executive Recruitment
- As E2E actively helps and facilitates the introduction of appropriate investors to pitching companies, E2E is rewarded success fees if a company is successfully funded. In order to help us monitor our facilitation and deals, please ensure that you adhere to the below guidelines if you wish to meet any companies that E2E is mandated with to fundraise for.
- Please submit any enquiries that you may have regarding companies within the E2E network who may be approached for investment to E2E.
- Enquiries and requests for introductions can be sent to communications@e2exchange.com.
- You are prohibited from directly contacting the companies if you have become aware of them via the E2E network.
- If you would like to direct any of the investee companies to any other business contacts, such introductions must be facilitated and arranged through E2E.
- If you wish to invest, you will be required to sign a Sophisticated Investor Form and a disclaimer that confirms you adhere to these guidelines.
- If you wish to work with a company in any capacity, please reach out to us so that we may arrange for and facilitate such dealings.
- If you are raising funds or recruiting non-executive directors, you will be bonded by the terms and conditions of our fund raising and non-executive policies.
- Should it come to our attention that you have conducted business dealings or received commercial gain which do not comply with these Terms, we reserve the right to terminate your Membership.
- As E2E actively helps and facilitates the introduction of appropriate investors to pitching companies, E2E is rewarded success fees if a company is successfully funded. - Events
- We host a spectacular variety of events throughout the year, from breakfast seminars and pitching events to private dinners and grand cocktail receptions. All E2E events are invitation only.
- E2E Ambassador and Corporate Memberships provide access to selected E2E events at no cost.
- E2E reserves the right to restrict access to events or activities on a “first come first serve” basis, at its sole discretion and without prior notice to the Members. If you book but find you are unable to attend, please let us know as soon as possible. We often hold waiting lists, and someone else could attend in your place.
- E2E reserves the right to modify programme of any event up to the day of the event. If unforeseen circumstances cause E2E to cancel an event, we shall inform you as soon as possible.
- E2E may communicate any restrictions on access through our Website, event registration platform, email, or any other suitable means of communication.
- By participating in any event organized by E2E, Members acknowledge and agree that the event may have limited capacity or availability.
- E2E does not guarantee access to the event for any specific Member, regardless of prior engagement with the E2E or event-related activities.
- E2E shall not be held responsible for any inability to accommodate Members beyond its capacity due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, or government regulations.
- Members shall comply with all event-related policies and procedures set forth by the Provider, including but not limited to registration requirements and entry guidelines.
- All events are costly to set up, even those which are ‘no charge’. If you are an E2E Ambassador and attend events for free and any unforeseen changes occur, you may notify us that you wish to cancel your attendance of an event. If we receive such notice less than two weeks before the event, you will be charged £45 cancellation fee per person attending the event.
- These Terms apply unless an event has a special cancellation policy. All cancellations must be made in writing via email to events@e2exchange.com.
- By registering to attend an event, you have confirmed that you have read and understood our cancellation policy contained in these Terms.
- Intellectual Property
- All intellectual property rights in the Website and the content provided therein, including but not limited to text, images, graphics, logos, and trademarks, are owned by or licensed to E2E.
- All brand names, Product names, service names, titles and copyrights used on our Website are trademarks, trade names, service marks or copyrights of their respective holders.
- You may not use, reproduce, distribute, or modify any of the content on the Website without our prior written consent.
- Should we grant our consent as per 7.3 to use any content:
- You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
- Our status (and that of any identified contributors) as the authors of material on our Website must always be acknowledged.
- You may print off one copy, and may download extracts, of any page(s) from our Website for your personal reference and non-commercial use and you may draw the attention of others within your organisation to material posted on our Website.
- You must not use any part of the materials on our Website for any other commercial purposes without obtaining a license to do so from us or our licensors.
- If you print off, copy or download any part of our Website in breach of these Terms, your right to use our Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. We further reserve the right to terminate your Membership in such instance.
- Limitation of Liability
- E2E has taken care in the preparation of the content of this Website. To the fullest extent permitted by the law, E2E disclaims all warranties of any kind with respect to the content of this Website and any reliance of the information contained on our Website. E2E and its directors or related companies shall not be liable for any losses or claims arising directly or indirectly from use of this Website except that this exclusion of liability does not apply to any damages in connection with death or personal injury, fraud or fraudulent misrepresentation caused by the negligence of E2E, its directors or employees.
- To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the purchase or use of your Membership, even if advised of the possibility of such damages.
- For the avoidance of doubt, we will not be liable to any user and/or Member for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- 11.3.1.use of, or inability to use, our Website; or
- 11.3.2.use of or reliance on any content displayed on our Website.
- 11.3.3.If you are a business user and/or Member, please note that in particular, we will not be liable for:
- 11.3.3.1.loss of profits, income, contracts sales, business, or revenue;
- 11.3.3.2.loss of data;
- 11.3.3.3.business interruption;
- 11.3.3.4.wasted management or office time;
- 11.3.3.5.loss of anticipated savings;
- 11.3.3.6.loss of business opportunity, goodwill or reputation; or
- 11.3.3.7.any indirect or consequential loss or damage.
- To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Website or any content on it, whether express or implied. In particular neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on our Website for any particular purpose. E2E’s liability shall be limited to the extent permitted by applicable laws and regulations.
- Subject to the provisions of this clause 8, our total aggregate liability in respect of claims based on events in any calendar year arising out of or in connection with our Website, any Membership and/or any event organised by us or any other services we provide (unless they are provided under a separate agreement in which case that agreement will prevail), whether in contract or tort (including negligence) or otherwise, shall in no circumstances exceed the total sums payable by the you to us in respect of the relevant Membership, event or other services.

- WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE OR ANY INFORMATION, CONTENT, OR MATERIALS INCLUDED IN OR REFERENCED ON THE WEBSITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, IN RESPECT OF THE WEBSITE, AND MEMBERSHIP CONTEMPLATED BY THESE TERMS AND CONDITIONS.
